Making a deal great requires a commitment to two foundational principals:

- The best agreements are ones that work well for both sides.
Applying these principals results in an agreement with a strong, resilient foundation. With a strong foundation, a contract can stay standing if the winds of conflict arise down the road. With a strong foundation, an agreement can even be remodeled or revised if it gets battered a bit. The trick is to figure out how to balance the often competing goals of both sides. The Process
Our transactional Law services start with a conversation, a process. We listen. We ask questions. Then we listen some more. We help you view your objectives from different perspectives. We help you to see where you are in the vast legal forest. And we show you how each tree in those woods affects the journey to your objectives. We make sure you completely understand the advantages and disadvantages of all of your options. These discussions often take a substantial amount of time. But, we have good news: We don’t bill you for it.
We don’t bill our clients for the time we spend with them answering questions or discussing options – whether that time is spent in person, on the phone, or by email. We want our clients to be in a position to make fully informed and intelligent decisions. If we charged our clients for this process, they would be less likely to ask all of their questions, get all of their answers, or view the potential routes to their goals from as many perspectives as possible. We avoid that problem completely. When you spend time with us, you’re never on the clock. Have a question? Just ask. Have an idea? Share it. You won’t be charged for our time. Isn’t that great?
Once you’ve decided on your goals, and we’ve agreed on a route to reach them, we start the communication process with the folks on the other side. Lots of clients initially view the other side as the enemy. And, the other side often see us the same way. By using our process as the basis for discussions, we almost always get them to embrace our view of working together – like welders and pipefitters on a high-rise project, instead of enemy combatants on the field of battle. Once we see the deal through their eyes clearly, it makes it much easier to find solutions that fit all.
Importantly, this process does not mean that we compromise your objectives. On the contrary, it means we accomplish your foundational goals in a way that is lasting and secure in any transactional law or contract we assist you with.
After we’ve established the framework for the deal we’re building, we start drafting. The key to great drafting is detail. Every tiny clause in a contract is critical. If it isn’t, we weed it. We work very hard to make every agreement as clear and concise and precise as possible. We use plain, direct language. No five hundred dollar phrases. No legal mumbo jumbo.
We work hard to understand the motivations of our clients and the people on the other side of the deal. We find creative ways to help both sides reach their objectives, and we build agreements with strong foundations. It takes a lot of hard work and a lot of good listening. We’re ready.
